End User License Agreement
Better Numbers Internal Applications
Effective date: July 20, 2026
This End User License Agreement (“Agreement”) governs use of the internal software applications operated by Chris Hervochon, CPA, CVA LLC dba Better Numbers (“Better Numbers,” the “Firm,” “we,” “us”), including applications that connect to third-party platforms such as Intuit QuickBooks Online (“the Applications”).
1. Internal use only
The Applications are internal tools. Use is limited to Better Numbers personnel and contractors expressly authorized by us, through firm-managed accounts. The Applications are not offered to the public, and no one else acquires any right to use them.
2. License and ownership
Authorized users receive a limited, revocable, non-transferable right to use the Applications solely to deliver Better Numbers’ services. The Firm retains all right, title, and interest in the Applications, including the methodologies, processes, models, tools, techniques, and know-how embodied in them. No rights are granted except as stated here.
3. Acceptable use
Authorized users must not:
(a) attempt to access the Applications or their data without authorization or circumvent their security controls;
(b) use client data available through the Applications for any purpose outside the applicable client engagement or as otherwise authorized in that client’s engagement agreement;
(c) copy, distribute, or make the Applications available to any third party.
Use of the Applications must comply with our firm policies and applicable professional standards.
4. Third-party platforms
Where the Applications connect to third-party services (such as Intuit QuickBooks Online), that connection is also subject to the third party’s own terms of service. This Agreement grants no rights in any third-party service.
5. Client data and engagement agreements
Handling of client data is governed by our Privacy Policy and by the engagement agreement between Better Numbers and the relevant client, including its provisions on confidentiality, workpapers, and intellectual property. If this Agreement conflicts with either of those regarding client data, they control.
6. No warranty
The Applications are provided “as is” and “as available,” without warranty of any kind, including uninterrupted or error-free operation. This section concerns the software only — it does not limit any obligation Better Numbers owes a client under an engagement agreement or professional standards.
7. Termination
We may suspend or revoke any user’s access to the Applications at any time. Sections 2–6 survive termination.
8. General
This Agreement is governed by the laws of the State of South Carolina, without reference to its conflicts-of-laws rules; any dispute relating to it is subject to the exclusive jurisdiction of the state and federal courts having jurisdiction over Beaufort County, South Carolina.
